1. Acceptance of Terms

By accessing or using the Dire Money website, platform, exchange, and wallet services (collectively, "Services") operated by DIRE MONEY TRANSMITTER LLC ("we," "us," "our," or "Company"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all provisions of these Terms, do not access or use the Services.

2. Eligibility & Account Requirements

To use Dire Money Services, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction
Be a legal resident of the United States or operate through a US-based legal entity
Provide accurate, complete, and truthful information during account registration
Complete KYC (Know Your Customer) verification and pass AML (Anti-Money Laundering) screening
Maintain the accuracy of your account information
Comply with all applicable laws and regulations

We reserve the right to refuse service, deny account creation, or suspend accounts for any reason at our sole discretion, particularly if you violate these Terms or fail verification procedures.

3. Account Security & User Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Use a strong, unique password and enable multi-factor authentication
Immediately notify us of any unauthorized access or security breach
Do not share your login credentials with any third party
Assume full responsibility for all transactions initiated from your account
Log out of your account when using shared or public devices

We are not liable for losses resulting from your failure to protect account credentials or from unauthorized access that results from your negligence.

4. Trading & Exchange Services

Exchange Rates: All exchange rates displayed are indicative and subject to real-time market fluctuations. Actual rates are locked at the moment your transaction executes.

Fees & Charges: Trading fees, service charges, and other costs are disclosed in your Service Agreement and on the platform. Fees are subject to change upon 30 days' notice.

Transaction Limits: We may impose daily, monthly, or per-transaction limits based on your verification status and risk profile.

5. Software Wallet & Asset Management

Custody & Security: Dire Money provides a non-custodial software wallet. You retain beneficial ownership of your assets. We implement multi-layer encryption and security standards.

Wallet Activity: You authorize us to monitor wallet transactions and activity thresholds as part of our compliance procedures.

Recovery & Loss: If you lose your wallet recovery credentials, we may be unable to recover your assets. You are responsible for securely storing recovery information.

6. Prohibited Activities

You agree not to use Dire Money Services for:

Money laundering, terrorist financing, or sanctions evasion
Fraud, deception, or misrepresentation
Illegal transactions or activities that violate US law or FinCEN regulations
Unauthorized access to computer systems
Manipulation or abuse of trading functions
Violation of securities, commodities, or financial services laws
Circumventing KYC/AML procedures or verification requirements
Reselling or commercializing our Services without authorization

Violation may result in account suspension, asset freeze, permanent ban, and referral to law enforcement.

7. Platform Availability & Uptime

Target Availability: We maintain 99% platform uptime, measured on a rolling 30-day basis. Maintenance windows and security incidents may cause temporary unavailability.

No Guarantee: We do not guarantee uninterrupted access and are not liable for damages from temporary service interruptions, unless such interruption is prolonged and directly caused by our negligence.

8. Compliance & Regulatory Obligations

NFA Registration: DIRE MONEY TRANSMITTER LLC is registered with the National Futures Association. All operations comply with NFA member conduct rules.

Money Transmitter License: We maintain state money transmitter licensing. We comply with FinCEN registration, reporting, and record-keeping requirements.

AML/KYC: We maintain comprehensive Anti-Money Laundering and Know Your Customer procedures. You consent to ongoing transaction monitoring and risk assessment.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIRE MONEY TRANSMITTER LLC SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or business opportunity
Temporary service interruptions or third-party service failures
Losses resulting from user error, neglect, or unauthorized account access

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless DIRE MONEY TRANSMITTER LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your violation of these Terms or applicable laws
Your use of Dire Money Services in violation of our policies
Your transaction activity or wallet management
Claims by third parties related to your account or activity

11. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Washington, without regard to conflicts of law principles.

Dispute Resolution: Any dispute shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration under JAMS rules in Seattle, Washington. You waive any right to jury trial or class action litigation.

12. Changes to Terms

We may update these Terms at any time with 30 days' notice. Material changes will be communicated via email. Your continued use following such notice constitutes acceptance of updated Terms. Last updated: April 2026.
